Terms of Service

These Terms of Service ("Terms") govern the use of the Varco platform, provided by F Camargo Tecnologia LTDA, CNPJ 45.524.516/0001-73 ("Varco", "we", "us"). By creating an account, accepting an invitation, installing the agent, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a company, you represent that you are authorized to accept these Terms on its behalf.
If you have a signed commercial proposal or contract with Varco, that document prevails over these Terms where they conflict.
1. Definitions
- Service: the web portal, APIs, edge servers, tunnels, EasyConnect, Debug AI, client applications (desktop and command line), the
varco-deviceagent, and the documentation. - Customer: the company or individual that subscribes to the Service and owns an Organization.
- Organization: the Customer's space in the Service, including its sub-organizations.
- User: a person with an account linked to an Organization.
- Device: equipment registered in the Service, with or without the agent installed.
- Customer Data: all content that the Customer, its Users, or its Devices send to or generate in the Service, such as device data, telemetry, logs, commands and their output, files, credentials, and Debug AI conversations.
2. The Service
Varco lets you securely access and manage remote equipment. Devices register with a provisioning key, receive an individual certificate, and keep a mutual-TLS connection to our edge servers. From the portal, the applications, or the API, Users can open TCP and UDP tunnels, reach web interfaces through EasyConnect, monitor availability and telemetry, search logs, run remote actions, distribute files, and use Debug AI.
The Service evolves continuously. We may add, change, or remove features. We will give reasonable advance notice of removals that materially affect the contracted use.
3. Accounts and access
- Provide accurate information and keep it up to date.
- Accounts are personal and non-transferable. Do not share your sign-in with anyone.
- You are responsible for keeping your passwords, API keys, provisioning keys, and other credentials confidential, and for all activity performed with them. We recommend enabling two-factor verification.
- Notify us immediately at contato@fcamargo.tech if you suspect unauthorized use of your account.
- Organization administrators decide who is invited, roles and permissions, sign-in policies, and sub-organizations. The Customer is responsible for the Users it authorizes.
4. Devices and authorization
- The Customer represents that it owns, or is authorized to register, access, and run commands on, each Device, and to process the data it generates.
- Remote actions, distributed files, and commands run by Debug AI are carried out at the Customer's direction. The Customer is responsible for testing them, for their effects on Devices, and for the credentials it provides. We recommend using accounts with the least privilege needed.
- Whoever exposes a Device's services through tunnels is responsible for protecting those services, for example with IP allow lists, email authentication, and strong passwords on the equipment itself.
5. Acceptable use
You may not use the Service to:
- engage in illegal activities or violate the rights of others;
- access systems or devices without authorization, or bypass security controls;
- distribute malware, carry out phishing or spam, or host unlawful content;
- use tunnels for purposes unrelated to managing your Devices, such as public website hosting, open proxies, or VPNs for third parties;
- run denial-of-service attacks, scans, load tests, or penetration tests against the Service without our prior written permission;
- circumvent quotas, limits, or the isolation between Organizations;
- reverse engineer the Service, except where the law expressly allows it;
- resell or provide the Service to third parties without an agreement with Varco;
- upload personal data of third parties without a legal basis, or sensitive personal data that is not needed to use the Service.
If you find a security vulnerability, report it to contato@fcamargo.tech and do not exploit or disclose it before it is fixed.
6. Debug AI
- Debug AI uses third-party artificial intelligence models. Responses may be incorrect, incomplete, or inappropriate; review them before acting.
- The agent can run commands on Devices with the credentials provided, within the Service's safeguards. The Customer is responsible for authorizing this use and for the consequences of the commands run.
- The conversation history and tool results are sent to AI providers, as described in the Privacy Policy.
- Use of Debug AI is subject to the Organization's quotas.
7. Quotas, limits, and fair use
Each Organization has quotas, such as the number of users, devices, Debug AI usage, and storage, defined in the plan, in the commercial proposal, or by Varco. We may also apply technical limits, such as request rate limits, to keep the Service stable for all Customers.
8. Pricing and payment
Prices, payment terms, adjustments, and the subscription term are set out in a specific proposal, order, or contract. Late payment may lead to suspension of the Service after prior notice. Taxes apply as required by law.
When the Service is provided free of charge, for example for evaluation, we may change or discontinue it at any time with notice.
9. Customer Data and privacy
- The Customer retains ownership of Customer Data.
- The Customer grants Varco a limited, non-exclusive license to host, process, transmit, and display Customer Data solely to provide, secure, and support the Service.
- For personal data contained in Customer Data, the Customer acts as controller and Varco as processor under the LGPD. The Customer represents that it has a legal basis for the processing and has informed the data subjects.
- We do not access the content of Customer Data except as needed to provide the Service, handle a support request, prevent abuse and security incidents, or comply with the law.
- The Privacy Policy describes in detail how we handle personal data.
10. Intellectual property
The software, brand, documentation, and other elements of Varco belong to F Camargo Tecnologia LTDA or its licensors. During the subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service and install the client applications and the agent in accordance with these Terms. Open-source components included in the Service are governed by their own licenses.
We may freely use suggestions and feedback about the Service, with no obligation to you.
11. Availability, maintenance, and support
- We use reasonable efforts to keep the Service available, but we do not guarantee uninterrupted or error-free operation unless a service level agreement (SLA) is set out in a contract.
- Automated maintenance routines run daily between 02:00 and 05:00 UTC (23:00 to 02:00 Brasília time). Updates may cause brief reconnections of Devices and tunnels. When possible, we will give advance notice of scheduled maintenance with material impact.
- Support is provided through the portal chat and at contato@fcamargo.tech.
- The Service depends on the internet and on third-party infrastructure outside our control.
12. Suspension and termination
- The Customer may stop using the Service at any time, subject to the terms of the commercial contract.
- We may suspend or terminate access, in whole or in part, in case of breach of these Terms, risk to the security of the Service or of third parties, legal requirement, or non-payment. Whenever reasonable, we will notify you first.
- After termination, the Customer may request a copy of the available Customer Data within 30 days. After that period, the data will be deleted or anonymized, except data that the law requires us to keep, such as the access records required by the Marco Civil da Internet.
- Provisions that by their nature should survive termination remain in effect.
13. Warranties and limitation of liability
- To the maximum extent permitted by law, the Service is provided "as is" and "as available".
- Varco is not liable for indirect damages or lost profits; for data loss or failures caused by commands, scripts, or Debug AI actions authorized by the Customer; for failures of the Customer's Devices, networks, or systems; for misuse of credentials under the Customer's responsibility; or for acts of God or force majeure.
- Varco's total liability related to the Service is limited to the amount paid by the Customer in the 12 months before the event giving rise to the claim.
- Nothing in these Terms limits liability that cannot be limited by law, including rights under the Brazilian Consumer Protection Code, where applicable.
14. Indemnification
The Customer agrees to indemnify F Camargo Tecnologia LTDA against third-party claims arising from a breach of these Terms, unlawful use of the Service, or Customer Data.
15. Changes to these Terms
We may update these Terms. The last-updated date appears at the top of this page. We will announce material changes by email or through a notice in the portal at least 15 days in advance. Continued use of the Service after the changes take effect means you accept them.
16. General provisions
- These Terms are governed by the laws of the Federative Republic of Brazil.
- The courts of Curitiba/PR, Brazil, have jurisdiction over any disputes, without prejudice to the consumer's home forum, where applicable.
- If any provision is held invalid, the remaining provisions remain in effect.
- Failure to enforce any provision is not a waiver of the right to enforce it.
- The Customer may not assign these Terms without our prior consent.
- Notices may be sent by email or through notices in the portal.
